1. Definitions
In these Terms and Conditions, the following terms carry the meanings assigned below:
- "Company", "We", "Us", "Our" refers to Baan Panya, operating from 622 Silom Road, Suriyawong, Bang Rak, Bangkok 10500, Thailand.
- "Client", "User", "You" refers to any individual or organization using this website or engaging our consulting services.
- "Services" refers to the consulting programs offered by Baan Panya, including the Competitive Landscape Review, Leadership Development Engagement, and Full Business Transformation Program.
- "Agreement" refers to these Terms and Conditions together with any signed engagement scope documents.
- "Content" refers to all materials, reports, deliverables, and information produced or made available as part of a consulting engagement.
2. Acceptance of Terms
By accessing this website or engaging our consulting services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. You further confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are accessing this website on behalf of an organization, you confirm that you are authorized to bind that organization to these terms.
3. Service Description
Baan Panya provides professional business consulting services to organizations based in Thailand and the wider ASEAN region. Services are delivered in accordance with individually agreed scope documents. The availability of specific services may vary, and we reserve the right to decline engagement requests where we determine that we are not best positioned to serve the client's needs. Geographic restrictions may apply for certain specialized service components.
4. Engagement and Scope
Each consulting engagement begins with a written scope document agreed by both parties before work commences. The scope document defines deliverables, timeline, pricing, and review points. Changes to scope after commencement require written agreement from both parties and may affect pricing and timeline. Baan Panya will not proceed with work outside the agreed scope without prior written consent from the client.
5. User Responsibilities
Clients engaging our services agree to:
- Provide accurate and complete information relevant to the engagement
- Make necessary internal resources and personnel available in line with the agreed scope
- Provide timely responses to requests for information or feedback
- Not use our website for unlawful purposes or in ways that may harm Baan Panya or third parties
- Maintain the confidentiality of any proprietary information shared by Baan Panya during the engagement
6. Intellectual Property
All deliverables, reports, frameworks, and written materials produced by Baan Panya during an engagement are provided to the client for internal business use. Unless otherwise agreed in writing, Baan Panya retains ownership of proprietary methodologies, frameworks, and templates used in delivery. Clients may not share, publish, or commercially exploit Baan Panya deliverables beyond the agreed internal use without written permission. The Baan Panya name, logo, and website content remain the exclusive property of the company.
7. Payment Terms
Fees are agreed in the engagement scope document before work begins. Payment terms and installment schedules are specified per engagement. All fees are quoted and payable in Thai Baht (฿) unless otherwise agreed. Invoices are due within the period specified on the invoice. Late payment may result in suspension of engagement activities until outstanding amounts are settled. Accepted payment methods will be communicated at engagement commencement.
8. Refunds and Cancellation
Cancellation requests received before the engagement start date will be reviewed on a case-by-case basis. Work completed and expenses incurred prior to cancellation are non-refundable. For engagements cancelled after commencement, fees are due for work delivered up to the cancellation date. Baan Panya reserves the right to terminate an engagement if the client fails to fulfil their obligations as described in these Terms, with fees due for work completed to that point.
9. Disclaimers
Baan Panya provides consulting advice based on the information available at the time of engagement. Recommendations are professional opinions informed by analysis and experience — they do not constitute legal, financial, accounting, or medical advice. Business outcomes resulting from the implementation of our recommendations depend on factors outside our control. We make no representations about specific business results. The consulting services are provided "as is" and we disclaim any warranties not expressly stated in the engagement scope document.
10. Limitation of Liability
To the maximum extent permitted by Thai law, Baan Panya's total liability to a client in connection with any engagement shall not exceed the total fees paid by that client for the specific engagement giving rise to the claim. We shall not be liable for indirect, incidental, or consequential losses including loss of profit, loss of business opportunity, or reputational damage, except where such exclusion is prohibited by law. Nothing in these Terms excludes liability for fraud, gross negligence, or other matters that cannot be excluded under Thai law.
11. Confidentiality
Both parties agree to maintain the confidentiality of information shared during an engagement that is identified as confidential or that would reasonably be understood to be confidential by its nature. Specific confidentiality obligations are detailed in the non-disclosure agreement signed at the start of each engagement. These confidentiality obligations survive the termination or completion of the engagement.
12. Termination
Either party may terminate an engagement by providing written notice in accordance with the termination provisions in the engagement scope document. Upon termination, the client will pay for all work completed to that point. Baan Panya will deliver all completed or substantially completed deliverables on receipt of final payment. Provisions relating to confidentiality, intellectual property, payment, and dispute resolution survive termination.
13. Governing Law and Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws of the Kingdom of Thailand. In the event of a dispute, both parties agree to first attempt resolution through informal discussion in good faith. If informal resolution is not achieved within 30 days, disputes will be referred to the Thai courts with jurisdiction in Bangkok, unless both parties agree to mediation or arbitration as an alternative.
14. General Provisions
These Terms, together with any signed engagement scope and NDA documents, constitute the entire agreement between the parties with respect to the subject matter herein. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. Failure to enforce any provision does not constitute a waiver of that provision. Neither party may assign its rights under these Terms without written consent of the other party.
15. Changes to These Terms
We may revise these Terms and Conditions from time to time. The updated version will be reflected in the "Last Updated" date above. Continued use of this website or ongoing engagement with our services after updates constitutes acceptance of the revised Terms. For active engagements, material changes to terms will be communicated directly to the client.
